You can try some almigthy video edit software, like Sony Vegas, or Corel Video Studio.

I think you mean adding subtitle by "adding overlay texts to video", first you need to create a subtitle file like *.srt or *.ass, then use this converter to embed the subtitle to video: http://www.imelfin.com/video-converter.html
If you want to text show up for specific time, just adjust the time line in subtitle file.
